S. Timothy Buynak

Professional Experience

  • Outside “General Counsel” to many California businesses and their Boards of Directors, many expanding nationally and internationally.
  • Formation of startup entities, from start-ups to ongoing operations, mergers, acquisitions, financing, purchases, sales and other strategies.
  • Mergers, acquisitions, financings, purchases and sales in the software, agriculture, personnel, telecommunications, radio, real estate, fast food, restaurant, construction, retail, vehicle, water and other industries.
  • Tax and legal assistance with non-profits, private foundations, family trusts and entities, to minimize estate tax liability and court oversight.
  • Successful defense of Chairperson of Agricultural Commission, in litigation demanding compensatory and punitive damages in excess of $10,000,000, resulted in dismissal and recovery of attorney fees.
  • Successful strategy and Defense of the Officers and Majority Shareholders against assertions of bad faith, violation of fiduciary duties, and violations of the Bylaws, through a derivative action, resulting in favorable judgment allowing a forced buyout of minority shareholders.
  • Successful strategy involving litigation and negotiation, allowing minority shareholders to purchase majority interests of three companies, with attendant financing
